Wu-Yin Yan-Jing® Bylaws
ARTICLE I - ORGANIZATION NAMEThe name of this organization shall be American Wu-Yin Yan-Jing® Federation.
ARTICLE II – PURPOSE1. Creation of a well structured, high performance, professional martial arts association. 2. Build a strong foundation of an effective and practical art form. 3. Emphasis on the development of strong leaders and respected martial artist. 4. To encourage and enforce a uniform execution of all techniques as taught by all Wu-Yin Yan-Jing® Black Belt instructors. 5. To develop Instructor Certification in addition to Black Belt ranking for organizational recognition of instructors of Wu-Yin Yan-Jing®. 6. To develop a set standard and guidelines for uniform/gi, patches, certificates, etc. 7. To provide regular meetings and seminars for organization members. 8. To assist member schools and instructors with instruction, testing, and financial support as needed. 9. To assist member schools and instructors with demonstrations, tournaments, and public education. 10. To develop, complete, and implement new techniques and requirements for the advanced degrees of Black Belt in Wu-Yin Yan-Jing®. 11. To provided a centralized data base of support materials for organization members and interested public, to include history, lineage, issuance of Black Belt certificates, certified instructor verification, instructor manuals, and other administrative duties as needed. 12. To encourage a spirit of Peace, Brotherhood and Tranquility amongst organization members, fellow martial artist, and those around us.
ARTICLE III – MEMBERSHIP1. Black Belt membership shall be open to all who have been promoted as a Black Belt in Wu-Yin Yan-Jing®. 2. Student membership will be available to lower ranking (Orange – Brown) students of Black Belt members. 3. Social membership shall be open to martial artist of other styles and non-martial artists who are interested in supporting the ideals and vision of the American Wu-Yin Yan-Jing® Federation (AWYF). 4. All members shall pay annual membership dues. 5. All members shall obey the rules an regulations of the AWYF and promptly pay any dues, fines imposed and/or any disciplinary actions as needed to be enforced (i.e. probationary periods, suspension, revocation, etc.).
ARTICLE IV – DUESInitial application/registration fee of $195.00 for Black Belt Members will defray the cost of instructor manuals, videos, teaching aids, design and production of AWYF patches and certificates, website development and hosting, administrative costs, etc. 1. Black Belt members shall pay an annual dues of $50.00 for subsequent years after the Initial application/registration. 2. Student members shall pay an annual dues of $20.00 3. Social members shall pay an annual dues of $30.00 4. Annual dues and membership renewal shall be due the anniversary of initial registration. Note: The AWYF will not determine student tuition fees that must be charged by instructors. Instructors may charge a tuition fee for instruction at a level that they feel the market and demographics of their area can support.
ARTICLE V – VOTING1. Voting privileges on organizational issues such as Board of Directors members and other major decisions effecting the organization are extended only to Black Belt members of the AWYF. 2. A Quorum of one-third of the Black Belt membership is needed to conduct major organization decisions within the AWYF.
ARTICLE VI – OFFICERS1. The officers of the American Wu-Yin Yan-Jing® Federation Board of Directors (B.O.D.) shall be Chief Executive Officer, President, Vice President of Operation, Chief Financial Officer/Treasurer, and Logistics Officer/Secretary. 2. AWYF B.O.D. officers are not necessarily the highest ranking Wu-Yin Yan-Jing® Black Belts. 3. Requirements for B.O.D. officers include being committed to the vision of the organization and its members, be a Black Belt member of the organization, and demonstrate strong leadership attributes. 4. Terms of service for B.O.D. officers is one year for their first year of service, and two year terms there-after. 5. After nomination, officers shall be voted into office by a majority vote of the Black Belt membership.
ARTICLE VII – DUTIES OF OFFICERS1. Chief Executive Officer

ARTICLE VIII – RESPONSIBILITIES OF INSTRUCTORS1. Black Belt members are responsible to keep the AWYF informed of current contact information. 2. AWYF Instructors are responsible to keep the AWF informed of their current teaching status and of any needed assistance on the instruction of specific required techniques. 3. AWYF certified instructors shall teach Wu-Yin Yan-Jing® in its’ entirety to include techniques, katas and concepts. 4. AWYF certified instructors shall not add or delete any required techniques or katas. 5. AWYF certified instructors may need to modify required techniques only on occasion for those students with physical limitations/handicaps. 6. Any adjunctive techniques that are taught to supplement a students’ program of instruction are not required and are not part of the testing protocol for rank advancement and should be presented as such. 7. To afford proper planning, travel, and preparation of certificates, AWYF Black Belt Instructors will give the B.O.D. advanced notice of pending Black Belt testing.
ARTICLE IX – ORDER OF BUSINESS1. Meeting call to order the president. 2. Introduction of new members present. 3. Reading and acceptance of the minutes of the previous meetings by the logistics officer. 4. CFO report. 5. Committee reports. 6. Communications. 7. Unfinished business. 8. New business. 9. Adjournment
ARTICLE X – AMENDMENTSAmendments of the constitution/bylaws must be presented in writing at a regular meeting of the American Wu-Yin Yan-Jing® Federation. The amendments shall then be tabled for research and review until the next regular meeting or special session, at which time, the amendment shall be presented again. A two-thirds vote in the majority of the members present is required to amend this constitution.
